Brokerage of titles, license agreements and publishing-houses
Publishers develop along totally different lines. This means that
activities that once belonged to the core-business are not longer
regarded of vital importance to the company;
- Initiators are not in the nature of things the best qualified
people to exploit a title or a portfolio of publications and moreover
often they lack the financial means to achieve in time the needed
economies of scale;
innovators wish to reinvest the free-floating means for the development
of new products and services.
- The lack of sound successors and the wish to enjoy the life
after retirement might be the reasoning why one wants to sell
titles or publishing houses.
- Management buy-outs ask for a fair price determination.
- Small publishers need a minimum economy of scale to achieve
the earning power required and hence want to adjust their portfolio
by buying relevant titles.
- Some markets are naturally international and that's why publishers
targeting those markets need to operate worldwide with one specialised
title or to operate worldwide with regional editions or leading
national magazines.
- A prerequisite for brokerage is that the principal knows well
ahead that the broker acts solely on his behalf. That's why it
is a necessity that one operates exclusively based on a signed
contract that mandates the broker to act exclusively on behalf
of either the seller or the buyer. Even so with tenders.
- Principals for sales could be the owner of the titles or the
portfolio of publications as well as the publishing house.
- In cases of existing direct contacts between the seller and
the buyer we advice -again either seller or buyer- on the fairness
of a bid. We can compare this figure with the amounts realized
in practise in cases where we have been involved but always keeping
in mind that these magnitudes will not be known to anyone but
the parties directly involved.
